Terms of Service
The short version
You pay $49 once; you get VOOIS Pro for the lifetime of v1.x with all updates included. The license works on one active Mac at a time, and you can move it to a new Mac as often as you like. There's a 14-day no-questions refund. Don't redistribute or reverse-engineer the app. Disputes are governed by Italian law. Questions: support@voois.app.
1. Who you're agreeing with
VOOIS is operated by Lorenzo Decaria as an individual developer, based in Italy. "We," "us," and "our" refer to that operator. "You" refers to the person who downloads VOOIS, joins the waitlist, or buys a Pro license. By doing any of those things, you agree to these terms. If you're acting on behalf of a company, you confirm you have authority to bind that company.
2. The license you get
VOOIS Pro is a one-time purchase, not a subscription. Paying $49 (USD) through our Stripe checkout grants you a personal, non-exclusive, non-transferable license to use VOOIS on Macs you own or control, subject to these terms.
One active Mac at a time. You can transfer the license to a new Mac whenever you want — activating Pro on a new Mac automatically deactivates it on the previous one. There's no cap on how many times you can transfer.
The license includes all v1.x updates. If we ship a v2 with substantially new functionality, that may be a paid upgrade — but v1.x will keep working and keep getting bug fixes.
3. The free tier
The free tier of VOOIS lets you dictate for up to 30 minutes per calendar day, with no signup, no account, and no time limit on how long the free tier exists. Use it forever if it's all you need. The 30 minutes refresh at local midnight on your Mac.
4. Refunds
14 days, no questions asked. If VOOIS isn't right for you within 14 days of your purchase, email support@voois.app with the license key from your activation email and we'll refund the full amount through Stripe. The license is deactivated when the refund is issued.
Outside the 14-day window we'll consider refunds case-by-case but the default is no.
5. What you can do with VOOIS
Personal use, professional use, work use, freelance use, dictating into anything you'd otherwise type into. All fine. There's no separate "commercial license" tier — buying VOOIS Pro is the commercial license.
6. What you can't do
- Redistribute, resell, sublicense, or rent VOOIS to anyone else.
- Reverse-engineer, decompile, or disassemble the app, except where Italian or EU law expressly permits it (e.g., interoperability under the Software Directive).
- Circumvent or attempt to bypass the license-validation system, including the device fingerprint check, the offline-grace mechanism, or the HMAC signature on validation responses.
- Use VOOIS to do anything illegal where you live or where the work is being done.
- Remove or alter our copyright notices, brand marks, or attribution to whisper.cpp.
7. When we can revoke your license
We may revoke a license — i.e. deactivate it server-side so it stops working — in a small number of cases:
- You request and receive a refund (the license is revoked when the refund is issued).
- The payment is reversed by your bank or card network (chargeback) and you don't engage with us to resolve it.
- You materially violate these terms, after we've given you written notice and a chance to fix it.
- You're using VOOIS to commit fraud, distribute malware, or otherwise break the law.
Revocation is a last resort. In the unlikely event we revoke your license, we'll email you the reason.
8. Updates and feature changes
We can change, add, or remove features in VOOIS over time. We'll do our best to never remove something you specifically paid for. If a feature is dropped that's material to your use, we'll give you reasonable notice and (where appropriate) a refund.
9. Service availability
The license-validation backend at api.voois.app is required for activation and the once-a-day check-in. If our backend is down, your app keeps working under the 30-day offline grace window — that's exactly what the grace window is for. We'll always do our best to keep the backend up, but we don't guarantee uptime.
10. The "as-is" part
VOOIS is provided "as is" and "as available." To the maximum extent permitted by Italian law, we disclaim all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, accuracy of transcription output, and non-infringement.
Whisper's transcription is excellent but it's not perfect. Don't rely on VOOIS to capture safety-critical, legally binding, or otherwise irreplaceable speech without reviewing the output. We aren't responsible for typos, missed words, or the consequences of acting on a misheard transcription.
11. Limitation of liability
To the maximum extent permitted by Italian law, our total liability to you for anything related to VOOIS — whether under contract, tort, or any other theory — is limited to the amount you paid us in the 12 months before the claim arose. In practice, that's $49 or zero.
We're not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we knew or should have known they were possible.
Some jurisdictions don't allow these limitations; in those places, our liability is limited to the smallest extent the law allows.
12. Privacy
Our handling of personal data is described in the Privacy Policy, which is part of these terms by reference. The short version: your audio never leaves your Mac, and we collect almost nothing.
13. Governing law and disputes
These terms are governed by the laws of Italy, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these terms or VOOIS itself will be brought in the courts of Italy. Where mandatory consumer-protection law in your home country grants you stronger rights — for instance, the right to sue in your local courts as an EU consumer — those rights aren't affected by this section.
14. Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. If a change materially affects your rights, we'll email everyone with a license at least 30 days before it takes effect. Continued use of VOOIS after a change means you accept the new terms.
15. Severability and assignment
If a court finds any part of these terms unenforceable, the rest stays in force. You can't assign these terms without our written consent. We can assign them — typically only if the business is sold — and we'll let licensees know if we do.
